Acceptance of Terms

By accessing or using YUMA ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Description of Service

YUMA is a comprehensive task management and project collaboration platform that provides: • Task & Project Management: Create, organize, and track tasks with multiple views including Board, List, Calendar, and Roadmap • Workspace & Team Collaboration: Organize work into workspaces and spaces with role-based access control • Sprint & Agile Management: Full sprint planning, backlog management, and release tracking • AI-Powered Features: Intelligent task suggestions, automated workflows, and smart scheduling • Calendar Integration: Connect with external calendars including Google Calendar and Microsoft Outlook • Document Collaboration: Create and share documents within your workspace • Enterprise Features: SSO/SAML authentication, SCIM provisioning, domain verification, and IP allowlisting • Analytics & Reporting: Comprehensive dashboards and performance insights

User Accounts

Account Creation: You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials. Account Security: You agree to notify us immediately of any unauthorized access or security breach. We support multiple authentication methods including email/password, Google OAuth, and enterprise SSO (SAML/OIDC) for enhanced security. Two-Factor Authentication: We strongly recommend enabling two-factor authentication (2FA) for additional account security. This feature is available to all users. Account Responsibility: You are solely responsible for all activities that occur under your account. YUMA shall not be liable for any loss or damage arising from unauthorized use of your account.

Acceptable Use Policy

You agree not to use the Service to: • Violate any applicable laws, regulations, or third-party rights • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable • Interfere with or disrupt the Service or servers/networks connected to the Service • Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks • Use the Service for any illegal, fraudulent, or unauthorized purpose • Transmit any viruses, worms, or other malicious code • Harvest, collect, or store personal data about other users without their consent • Impersonate any person or entity or misrepresent your affiliation with any person or entity • Use automated means (bots, scrapers, etc.) to access the Service without our express written permission

Intellectual Property Rights

Our Content: The Service and its original content, features, and functionality are owned by YUMA and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Your Content: You retain all rights to the content you upload, post, or otherwise make available through the Service. By uploading content, you grant YUMA a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service. Feedback: Any feedback, comments, or suggestions you provide regarding the Service may be used by YUMA without any obligation to you.

Third-Party Integrations

The Service may integrate with third-party services including: • Calendar Services: Google Calendar, Microsoft Outlook • Authentication Providers: Google OAuth, SAML/OIDC identity providers • Enterprise Tools: SCIM-compatible identity management systems Your use of third-party integrations is subject to the terms and privacy policies of those third-party services. YUMA is not responsible for the practices of third-party services and recommends reviewing their respective terms before enabling integrations.

Payment Terms

Subscription Plans: Certain features of the Service may require a paid subscription. Pricing and plan details are available on our website. Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your designated payment method for all applicable fees. Refunds: Subscription fees are generally non-refundable, except as required by applicable law or as expressly provided in these Terms. Price Changes: We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

Termination

By You: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. By Us: We may suspend or terminate your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Effect of Termination: Upon termination, your license to use the Service terminates. We may retain certain data as required by law or for legitimate business purposes.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: • The Service will be uninterrupted, secure, or error-free • The results obtained from using the Service will be accurate or reliable • Any errors in the Service will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: • Your access to or use of (or inability to access or use) the Service • Any conduct or content of any third party on the Service • Any content obtained from the Service • Unauthorized access, use, or alteration of your transmissions or content

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which YUMA operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless prohibited by local law.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically for any changes.
